Agreement and eligibility
These Terms of Service ("Terms") are a legal agreement between ODR Logic ("ODR Logic," "we," "us," or "our") and the person or organization accessing the ODR Logic website, hosted application, support, and related services (collectively, the "Services"). By creating an account, accepting an invitation, signing an order, or using the Services, you agree to these Terms.
If you use the Services for a municipality, parks department, school, nonprofit, company, rink, or other organization (the "Customer"), you represent that you are authorized to accept these Terms for that Customer. "You" includes both the user and Customer where applicable. You must be at least 18 years old and legally able to enter this agreement. The Services are currently offered for use in the United States.
A signed order form, pilot agreement, statement of work, data-processing addendum, or other written agreement may add to or replace parts of these Terms. If documents conflict, the signed agreement controls for that Customer.
The Services
ODR Logic provides tools for outdoor rink planning and operations, including rink setup, assessments, ice-depth and system readings, weather context, resurfacing, equipment, maintenance, tasks, incidents, closures, evidence, schedules, projected revenue, reports, connected measurement capture, and evidence-informed guidance. Available features depend on the Customer's plan, configuration, permissions, and enabled providers.
We may improve, modify, add, or discontinue features. We will use reasonable efforts to avoid materially reducing paid core functionality during an active order without notice. Early-access, preview, beta, testing, and evaluation features may change or be removed at any time and may be less reliable than generally available features.
Operational and safety responsibility
ODR Logic is a decision-support and recordkeeping tool. It does not operate a rink, inspect physical conditions, replace trained personnel, establish a legal standard of care, or make final safety, opening, closure, staffing, refrigeration, maintenance, or public-access decisions.
You remain responsible for physical inspection, measurement verification, equipment maintenance, weather monitoring, emergency procedures, regulatory compliance, public warnings, and all operational decisions. You must follow applicable laws, manufacturer instructions, engineering requirements, workplace procedures, and professional advice. Do not delay emergency action while waiting for the Services.
Forecasts, projections, thresholds, recommendations, and alerts are not guarantees. Local conditions may change faster than data sources or the platform can reflect. When a condition may affect health, safety, structural integrity, equipment, or public access, use qualified personnel and direct observation.
Accounts and administration
You must provide accurate account information, maintain one account per person, keep credentials confidential, and promptly update information that changes. You are responsible for activity performed through your account unless caused by ODR Logic's breach of these Terms. Notify us promptly of suspected unauthorized access.
Customer administrators control invitations, roles, rink assignments, account disablement, organization settings, retention preferences, and access to financial or planning information. Customers are responsible for assigning appropriate access, reviewing membership regularly, and removing access when a user no longer needs it. ODR Logic may rely on instructions from an authorized Customer administrator.
Customer Data
"Customer Data" means information, files, records, and content submitted to or generated through the Services for a Customer, excluding ODR Logic technology, system metadata, and de-identified or aggregated information that cannot reasonably identify the Customer or an individual.
As between ODR Logic and Customer, Customer retains its rights in Customer Data. Customer grants ODR Logic and its service providers a limited right to host, copy, transmit, process, display, and otherwise use Customer Data only as reasonably necessary to provide, secure, support, and improve the Services; comply with law; and exercise our rights under these Terms.
Customer represents that it has all rights, notices, permissions, and lawful bases needed to provide Customer Data and direct its processing. Customer must not upload content that is unlawful, obtained without authorization, malicious, or unrelated to legitimate rink, facility, employment, contracting, or organizational operations. Avoid unnecessary personal information, especially children's data, medical data, government identifiers, payment-card data, account passwords, or highly sensitive personal information.
Customer is responsible for deciding whether incident files, photographs, receipts, personnel notes, imported records, and public-sector records may be collected, retained, disclosed, or produced under applicable law. ODR Logic does not determine whether a particular record is subject to open-records, employment, labor, insurance, litigation-hold, or regulatory requirements.
Acceptable use
You may not, and may not help another person to:
- access another organization, rink, account, file, or record without authorization;
- share credentials, impersonate another person, or misrepresent authority;
- probe, bypass, disable, or interfere with security, permissions, rate limits, or audit controls;
- introduce malware, destructive code, excessive traffic, automated scraping, or unauthorized integrations;
- reverse engineer or extract source code except where applicable law does not permit that restriction;
- use the Services to violate law, rights, contracts, privacy, confidentiality, or safety requirements;
- upload content you do not have the right to use or disclose;
- use output as the sole basis for an emergency, life-safety, employment, insurance, or legally significant decision about a person; or
- resell, sublicense, or provide the Services to an unauthorized third party unless a written agreement allows it.
We may investigate suspected misuse and limit or suspend access when reasonably necessary to protect users, Customer Data, the Services, providers, or third parties.
AI, weather, projections, and devices
AI-assisted guidance
AI-generated language can be inaccurate, incomplete, outdated, or inconsistent. ODR Logic may combine deterministic rules with AI-assisted explanations, but users must review the evidence, assumptions, uncertainty, and current field conditions. ODR Logic does not warrant that an AI response is correct or appropriate for a particular rink.
Weather and third-party data
Weather observations, forecasts, radar, alerts, and historical data come from third-party providers and may be delayed, unavailable, or incorrect. ODR Logic is not an official emergency-alert service. Users must monitor authoritative local sources and emergency notifications.
Financial and attendance projections
Projected revenue, attendance, utilization, scenario impact, cost, and return-on- investment outputs are estimates based on user inputs and assumptions. They are not accounting, tax, investment, procurement, or financial advice and do not guarantee sales, savings, attendance, or operating results.
Connected measurement devices
A listed device may be in testing and is not necessarily certified, calibrated, or endorsed by ODR Logic. Users must confirm compatibility, unit selection, calibration, environmental rating, physical condition, battery state, and measurement accuracy. Verify suspicious or safety-critical readings manually and follow the device manufacturer's instructions.
Third-party services
The Services rely on third-party infrastructure and data providers, including hosting, authentication, database, file storage, weather, and AI services. Third-party products may have separate terms and privacy notices. ODR Logic is not responsible for a third-party service outside our reasonable control, but we will use reasonable efforts to select and manage providers appropriate for the Services. Links to third-party sites do not imply endorsement.
Orders, fees, and taxes
Fees, plan limits, subscription length, renewal, implementation, consulting, Ice Protection products, shipping, payment schedule, and cancellation terms will be stated in an order form, quote, invoice, or other written agreement. Submitting a public inquiry or request form does not create a purchase or consulting agreement.
Unless a signed agreement states otherwise, fees are nonrefundable once the applicable service period or work begins, and Customer is responsible for applicable sales, use, excise, and similar taxes other than taxes on ODR Logic's net income. ODR Logic will not charge a payment method unless the Customer has separately authorized billing.
Confidentiality
Each party may receive nonpublic business, technical, financial, security, or operational information identified as confidential or that reasonably should be understood as confidential. The receiving party will use that information only for the relationship, protect it using reasonable care, and disclose it only to personnel and providers who need it and are subject to appropriate obligations.
Confidential information does not include information that the receiving party can show was lawfully known without restriction, independently developed, publicly available through no breach, or lawfully received from another source. A party may disclose information when legally required after providing notice when legally permitted. Public-sector Customers remain responsible for identifying applicable public-record requirements in a signed agreement; these Terms do not override them.
ODR Logic property and feedback
ODR Logic and its licensors own the Services, software, designs, workflows, documentation, models, templates, branding, and related intellectual property, excluding Customer Data. Subject to these Terms and any paid order, ODR Logic grants Customer a limited, nonexclusive, nontransferable, revocable right for authorized users to access the Services for Customer's internal operations during the applicable service period.
If you provide product suggestions or feedback, you grant ODR Logic a worldwide, perpetual, irrevocable, royalty-free right to use it without identifying you or disclosing Customer Confidential Information. This does not transfer ownership of Customer Data or Customer-specific operating records.
Availability and support
We aim to keep the Services available and secure, but maintenance, provider failures, internet conditions, emergencies, security events, and other circumstances may cause interruptions. Unless a signed agreement includes a service-level commitment, the Services are provided without a guaranteed uptime or response time. Customers should maintain procedures that allow safe operations during an outage and should not rely on ODR Logic as the only repository for records that must be immediately available by law or safety policy.
Suspension, termination, and data return
You may stop using the Services at any time. Subscription cancellation and refunds, if any, are governed by the applicable order. ODR Logic may suspend or terminate access for material breach, nonpayment, security risk, unlawful use, provider or legal requirements, or conduct that threatens the Services or others. When practical, we will provide notice and an opportunity to cure before terminating for breach.
Before an account closes, Customer should export records it is required to retain. Customer may contact ODR Logic to request reasonable assistance returning Customer Data; fees may apply for custom work. After termination, we may delete or de-identify Customer Data according to the applicable agreement and our retention practices, subject to backups, legal holds, security records, dispute needs, and legal duties.
Provisions that by their nature should survive termination—including ownership, confidentiality, disclaimers, liability limits, and dispute terms—will survive.
Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES, OUTPUT, DATA, PREVIEW FEATURES, AND SUPPORT ARE PROVIDED "AS IS" AND "AS AVAILABLE." ODR LOGIC DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
ODR LOGIC DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR SUITABLE FOR EVERY RINK; THAT WEATHER, DEVICE, AI, FINANCIAL, OR OPERATIONAL INFORMATION WILL BE ACCURATE OR CURRENT; OR THAT USE WILL PREVENT A CLOSURE, INCIDENT, LOSS, INJURY, EQUIPMENT FAILURE, OR REVENUE CHANGE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THESE TERMS MAY NOT APPLY.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, SAVINGS, BUSINESS, GOODWILL, OR DATA, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.
EXCEPT FOR AMOUNTS OWED, VIOLATION OF THE OTHER PARTY'S INTELLECTUAL PROPERTY RIGHTS, BREACH OF CONFIDENTIALITY, FRAUD, WILLFUL MISCONDUCT, OR LIABILITY THAT CANNOT BE LIMITED BY LAW, EACH PARTY'S TOTAL LIABILITY ARISING OUT OF THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID OR PAYABLE TO ODR LOGIC FOR THE SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. IF NO FEES WERE PAID OR PAYABLE, ODR LOGIC'S TOTAL LIABILITY WILL NOT EXCEED $100.
These limits apply to the extent permitted by law and allocate risk between the parties. A signed Customer agreement may establish different limits.
Responsibility for third-party claims
To the extent permitted by law, Customer will defend and indemnify ODR Logic from a third-party claim arising from Customer Data, Customer's unlawful or unauthorized use of the Services, or Customer's material breach of the acceptable-use or data-rights obligations in these Terms. This obligation does not apply to the extent a claim was caused by ODR Logic's breach, negligence, or willful misconduct. Public entities are subject to this section only to the extent allowed by applicable law and their signed agreement.
Disputes and governing law
Before filing a claim, each party will give the other written notice describing the dispute and will try in good faith for 30 days to resolve it through business representatives. This requirement does not prevent either party from seeking urgent injunctive relief or meeting a legal deadline.
Unless a signed Customer agreement states otherwise, these Terms are governed by applicable United States federal law and the laws of the state where ODR Logic has its principal place of business, without regard to conflict-of-law rules. Claims must be brought in a court with jurisdiction where ODR Logic has its principal place of business, except where applicable law requires another forum. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
General terms
Neither party may assign these Terms without the other's consent, except that ODR Logic may assign them as part of a merger, reorganization, sale of substantially all assets, or similar transaction. Neither party is liable for delay caused by events beyond its reasonable control, except payment obligations.
These Terms and applicable signed agreements are the entire agreement concerning the Services. A failure to enforce a term is not a waiver. If a term is unenforceable, it will be modified only as needed and the remaining terms continue. Headings are for convenience. No third party is a beneficiary. The parties are independent contractors.
Changes and contact
We may update these Terms as the Services and law change. The "Last updated" date identifies the current version. We will provide additional notice of a material change when appropriate. Continued use after the effective date of revised Terms constitutes acceptance, except where law or a signed agreement requires another form of consent.
